Agreement to Terms

By accessing or using the services provided by Point Dynamics, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

Point Dynamics, LLC provides software development consulting services, including but not limited to:

• AI-enhanced software development
• Custom application development
• Technical consulting and architecture
• Prototype and proof-of-concept development
• Legacy system modernization

Specific services and deliverables will be defined in separate agreements or statements of work.

User Responsibilities

When using our services or website, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any systems

Intellectual Property

Unless otherwise specified in a separate agreement, ownership of work product and intellectual property rights will be addressed in individual project contracts. Our website content, branding, and proprietary methodologies remain the property of Point Dynamics, LLC.

Confidentiality

We respect the confidentiality of our clients' information. Specific confidentiality obligations will be outlined in individual service agreements. We expect clients to likewise respect our proprietary information and methodologies.

Payment Terms

Payment terms for services will be specified in individual project agreements or statements of work. Unless otherwise agreed, invoices are due upon receipt. We reserve the right to suspend services for unpaid invoices.

Limitation of Liability

To the maximum extent permitted by law, Point Dynamics, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the nature of the claim. Our total liability for any claims arising from our services shall not exceed the amounts paid by you for the specific services giving rise to the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. Specific warranties may be provided in individual service agreements.

Indemnification

You agree to indemnify and hold harmless Point Dynamics, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

Termination

Either party may terminate services as specified in individual project agreements. We reserve the right to refuse or terminate services at our discretion. Upon termination, provisions regarding intellectual property, confidentiality, and limitation of liability shall survive.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Georgia.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes constitutes acceptance of the modified terms.
